Alejandro Bank elaborated on new business opportunities in Mexico in its oil and gas sector, following Mexico’s Energy Reform enacted in December 2013 by Mexico’s new government, that opens up its Energy Sector (Mexico’s oil and gas sector and power generation industry) for private investment. Lafase Partners successfully advises NTS-Group on the acquisition of two enterprises in South East Asia (Q2 2013)  Lafase advised NTS-Group (“NTS”), an international system supplier based in Eindhoven, the Netherlands, on the acquisition of two enterprises belonging to the Asian group HFB Ltd.; one in Suzhou, China, and one in Singapore.

These landmark acquisitions are part of our client’s Far East expansion strategy aiming at servicing its international clients within the region by producing local for local, while further expanding its mechatronic activities internationally and enhancing its leading position as system supplier. The acquired manufacturing companies are well-known in Asia as highly reputable suppliers of sheet-metal work to international machine builders in the high-tech industry and have vast experience in the production and coating of precision-engineering frames and covers.

Marc Hendrikse, CEO of NTS commented: “The combination of opto-mechatronic systems development and assembly, including the manufacture of related critical components under own management, has turned out to be extremely successful in Europe. The acquisition of these two companies means we can now offer customers with business locations in Asia exactly the same comprehensive package of services that we provide in Europe”.

The markets that both Asian companies currently serve match the international markets in which NTS specializes: healthcare, semiconductor, analytical equipment, digital printing and solar. Furthermore, the Singapore-based company is specialized in the final machining of large frames and has in-depth knowledge of and experience in co-designing and assembling mechanical-engineering modules. Both companies employ over 100 people. Together with the contemplated start-up of a new mechatronic assembly plant in Singapore, these acquisitions will increase NTS’ total workforce to more than 1000 employees.

Lafase hands-on advisory role included business plan development, overall project management, valuation, impact assessment and acquisition finance arrangement, selection and coordination of co-advisors, due diligence coordination, review of transaction documentation and negotiations assistance.

About NTS-Group NTS-Group is responsible for the development, production and assembly of opto-mechatronic systems and modules for leading international machine builders (OEM’s), with revenues of EUR 111 mio (2012). This allows its customers to concentrate on the core R&D, marketing, sales and service of their products. Important customers in Asia include KLA-Tencor and ASMI (semi-conductor sector), Makino, Hitachi Healthcare and in the Netherlands Philips Healthcare, ASML and FEI. NTS combines the important links in the chain of machine manufacture in which competence, knowledge and know-how complement each other. This way, the group keeps optimum control of manufacturability, costs and logistic performance. Furthermore, NTS, with NTS companies in the Netherlands, the Czech Republic, Singapore and China, is able to react flexibly to market demands. The unique combination of strengths ensures that international customers can successfully deliver high-quality machines with shorter lead times and at competitive prices.
